Position Summary:
The Chief Risk Officer will assist and manage an independent firm engaged for the purpose of conducting internal audit work for the Company, serve as liaison to the Company's external auditor and primary regulators, the Office of Thrift Supervision, and assist the Board of Directors and Senior Managers of the Company with meeting all industry compliance requirements. The incumbent will also be responsible for the development and management of the Bankˇ¦s SOX 404 compliance design and implementation, in collaboration with outside consultants. Essential Duties and Critical Responsibilities:
Oversee the Audit service functions provided by the external audit firm.
Assist in the development of risk assessments, audit plans, audit programs and audit reports.
Determine and approve risk, scope and frequency of audit services to be provided by external audit firm.
Review work performed by external audit firm to determine that it meets the requirements of the Bank and the Finance and Audit Committee of the Board of Directors.
Maintain contact with representative of the Office of Thrift Supervision and other regulatory authorities to coordinate periodic examinations.
Develop, maintain and annually obtain approval of the Audit Charter.
Work with Senior Managers of the Bank to educate and coach them on timely, accurate and complete preparation for internal audits and periodic external audits and regulatory examinations.
Review contract services of external audit firm on an annually basis and submit results to the Finance and Audit Committee.
Responsible for all compliance related activities of the Bank.
Respond to compliance questions (i.e. BSA, General Compliance Privacy) including implementation and monitoring strategies.
Develop a testing plan and perform periodic risk assessments of the companyˇ¦s internal controls as required.
Manage or prepare documentation, review and walk-through of all Standard Operating Procedures.
Track identified deficiencies and work with business owners towards resolution.
Manage the external audit of SOX 404 and the Bank's SOX 302 certification process.
Review all new accounting pronouncements and their applicability to the Bank.
Background/Experience:
7-10 years of experience in increasingly responsible positions in internal audit or public accounting with a principal focus on banking.
6 years of regulatory compliance examination or compliance officer experience
Strong proficiency in auditing, accounting standards and principles; CPA or other professional certification preferred.
Strong knowledge of bank regulatory issues, rules and regulations at the Federal, State and local levels, and experience with such agencies.
